The website www.tolix.com is published by the company TOLIX STEEL DESIGN SAS (hereinafter "TOLIX"), a simplified joint-stock company with a capital of €745,000, whose registered office is located at 18 Boulevard Bernard Giberstein – Parc d’activités St Andoche – 71400 Autun – France, registered with the Chalon-sur-SaôneTrade Register under number B 478 854 888, VAT number FR11478854888. TOLIX is the author of the sales offer for the products presented on its website: www.tolix.com (hereinafter the "Website").
This document governs the General Terms and Conditions of use and sale of the website (hereinafter the "General Conditions") that apply between TOLIX and any natural person or company wishing to use the website (the "User") or make a purchase on the website (the "Customer" or "you").
These terms apply from the moment the User uses the website. The User can choose to stop using the website at any time but remains responsible for any prior use. The Customer acknowledges having read and expressly accepts the General Terms and Conditions of use and sale without reservation or restriction when placing an order.
The General Terms and Conditions of use and sale, as well as the order form and order confirmation, constitute the sales contract between the Customer and TOLIX regarding the sale of the ordered Products. Any order placed on the Website requires the Customer to accept the General Terms and Conditions of use and sale in their entirety and without reservation. In case of disagreement with the terms and conditions of the General Terms and Conditions of use and sale, the Customer should not use or place an order on the Website.
At any time, TOLIX may be required to modify some of the provisions of these General Terms and Conditions of Sale. Therefore, it is necessary to review the current version on the day of ordering on the Website. These modifications are effective from the date of posting and will apply to orders placed after their posting on the Website. In case of modification, the General Terms and Conditions of use and sale applicable to the Customer's order are those that were online and accepted by the Customer on the day of placing the order.

In any case, the User can access the General Terms and Conditions of Sale through the Website.
Only individuals with the legal capacity to enter into contracts for the Products offered for sale on the Website can place an order on the Website. When placing an order, the Customer guarantees that they have full legal capacity to agree to the General Terms and Conditions of use and sale, place an order, and complete a purchase.
2.1 Presentation and Description of Products
TOLIX presents on the Website the various products (hereinafter the "Products") it offers for sale, as well as their detailed descriptions contained in product data sheets, providing the Customer with the opportunity to understand the essential characteristics of each Product that can be purchased through the Website, in accordance with the provisions of Article L.111-1 of the Consumer Code.
The information provided on each product sheet, as well as their photographs, is that which is communicated to TOLIX by suppliers, partners, or manufacturers. Customers are therefore informed that TOLIX may update these product data sheets at any time.
TOLIX makes its best efforts to ensure that the presentation of the Products, whose photographs are displayed on the Website, accurately represents the original Products.
However, due to the presentation of Products on the Internet, it is possible that the Customer's perception of the photographic representation of the Products may not accurately correspond to the actual product.
2.2 Product Availability
The delivery time will be indicated to the Customer during the order process, prior to order confirmation and payment.
The delivery times indicated at the time of order confirmation are calculated in working days and are specific to each Product. Due to the variety of supply zones, manufacturing and logistical constraints, these times may vary, and TOLIX cannot be held responsible.
Products are offered within the limits of available stock at the time of the Customer's order. A Product that becomes unavailable will be indicated as such. It is specified that TOLIX will make every effort to ensure the availability of the entire range of Products offered.
At any time, TOLIX reserves the right to modify or discontinue the Products offered on the Website, without affecting orders accepted by TOLIX before the effective date of such changes.
In case of Product unavailability, TOLIX will inform the Customer as soon as possible by email, regarding the delivery of a partial order or the cancellation of the order.
In the case of a partial order, the order invoice will be updated based on the products shipped.
2.3 Product Prices
The applicable prices are those indicated on the Website at the time the Customer confirms the order. Prices are shown in euros and include all taxes. Prices are subject to Value Added Tax (VAT) applicable on the day of the order.
The price to be paid is the price indicated on the Product data sheet on the Website, plus any additional fees (including delivery fees and service options) communicated during the order.
The Customer is informed that delivery fees are applicable to each order. The exact amount of delivery fees depends on the chosen delivery method, the delivery location, and the order's contents. The amount of delivery fees will be indicated in the shopping cart and will be subject to the Customer's approval before finalizing the order. To get an estimate, the Customer can simulate their purchases on the Website. In any case, this information is estimated, and only the price confirmed in the shopping cart at the time of validation has contractual value, except for exceptions such as delivery difficulties or special delivery methods that may incur additional costs.
Orders are payable immediately. No discounts will be applied. In the event of a change in the VAT rate, the price will be automatically adjusted without further notice, except for the legal effective date of the new rate.
At any time and without notice, TOLIX reserves the right to change its Product prices, without affecting orders accepted by TOLIX before the effective date of such changes.
While the Website is carefully designed, it is possible that the prices displayed may contain errors. TOLIX is in no way bound by such errors and reserves the right to cancel the customer's purchase in the event of such an error.
Prices are in Euros. If the payment currency differs from the currency in which the prices are displayed, the Customer's bank will apply its exchange rate on the date of purchase, beyond the control of TOLIX, which cannot be held responsible for this situation.
3.1 User Account Creation
To purchase products on the Website, the User can choose to register on the Website ("registered user") or proceed without registration as a guest ("guest user"). To make a purchase as a "registered user," the User must register on the Website and create a personal account or, if the User has already registered, access their account using the appropriate authentication information (i.e., email address and password). In doing so, the Customer declares to provide complete, accurate personal information that allows for precise identification in any situation.
Additionally, the creation of a user account is mandatory to take advantage of all private offers, private sales, or any other commercial operations reserved for Website customers.
The Customer is informed that their username and password are personal and confidential. Therefore, the Customer agrees to keep their password secret and not disclose it to any third party for any reason.
The Customer is responsible for all actions performed on the Website using their username and password. Any Customer registered on the Website will be bound for any order placed with the entry of their login information, subject to their right of withdrawal.
By creating an account, the Customer accepts TOLIX's Data Protection Policy (see Article 10).
3.2 Placing an Order
On the TOLIX website, the Customer can add the Products of their choice to the shopping cart by clicking the "Add to Cart" button. Access to the shopping cart is available at any time for modification or validation.
The Customer will have the opportunity to review the details of their order and its total price and, if necessary, correct or modify it before confirming the order to express their acceptance. TOLIX cannot be held responsible for input errors by the Customer, nor for any resulting delays and/or delivery errors. In these cases, the costs incurred by any potential reshipment will be the Customer's responsibility.
Once the contents of the shopping cart are validated, the Customer must: • Complete all requested information, including those related to the content and delivery and payment methods; • Declare acceptance of the General Terms and Conditions of use and sale without reservation.
After entering or modifying this information and subject to explicit acceptance of the General Terms and Conditions of use and sale, the Customer will finalize the order by clicking on the dedicated tab on the payment page.
The validation of the order by the Customer constitutes acceptance of the prices and characteristics of the Products purchased by the Customer.
3.3 Payment of the Order
Payment will be made exclusively in euros by credit card (Carte Bleue, Visa, Mastercard, American Express) or PayPal, excluding any other means of payment. The Customer's bank account will be debited within seven (7) days following the order.
To make the required payment, the Customer must provide their credit card number, its expiration date, along with, if applicable, the visual cryptogram.
By using PayPal, the Customer guarantees to TOLIX that they have the necessary authorizations to use this payment method when placing the order.
The Customer's bank details will be requested for each order. In addition, payment may be validated after entering a 3D Secure code provided by the Customer's bank holding the credit card.
In this regard, the Customer guarantees TOLIX that they have any necessary authorizations to use the chosen payment instrument when validating their order.
In the event of a bank refusal, the order will be automatically canceled, and the Customer will be notified by TOLIX.
TOLIX uses a payment service provider, namely Shopify, and therefore never has access to confidential information related to the Customer's means of payment. As Shopify is based in Canada, it will store and process the information related to each order, including credit card details, in a secure environment.
The transfer of the Customer's personal data to Shopify is governed by the standard contractual clauses established by the European Commission.
The Customer also undertakes to pay or have paid, where applicable, directly to the customs or carrier, any customs duties, VAT, or other taxes due on the import of the products to the delivery location.
In the case of delivery and non-payment, TOLIX has the right to reclaim the ordered Products, and the Customer agrees to return any unpaid Product and all remaining costs at their expense.
3.4 Confirmation of the Order by TOLIX
The order for Product(s) will only be considered final and binding once it has been confirmed by TOLIX. Once the order for Product(s) is confirmed and its payment validated, a printable and recordable summary of the Customer's order will be displayed, which will include the order references.
A confirmation email will then be sent to the Customer, containing the following information:
• The order number;
• A summary of the order (description of the ordered Product(s), quantity, price, and essential characteristics);
• The Customer's legal rights and guarantees;
• The total amount of the order, including all taxes;
• Delivery fees;
• Payment confirmation;
• Terms and conditions for exercising the right of withdrawal, in accordance with the provisions of Articles L.221-18 of the Consumer Code and following.
In accordance with the provisions of Article L.122-1 of the Consumer Code, TOLIX has the right to refuse any abnormal order, placed in bad faith, or unpaid due to fraudulent use of a credit card.
TOLIX retains ownership of the ordered Products until the full payment of the corresponding price is made.
4.1 Delivery Location and Delivery Cost
The Products are available for delivery in the following countries and territories: France, European Union, United Kingdom, Liechtenstein, Norway, Sweden, Switzerland.
The Products will be delivered to the postal address provided by the Customer during the order and which will be indicated on the delivery slip. The Customer must carefully fill in all the fields of the delivery form during the order, including their delivery details, and provide a landline or mobile phone number. Neither TOLIX nor the transport company can be held responsible for the inability to deliver due to imprecise or incorrect delivery addresses.
The total price, including all taxes (VAT), of the Customer's contribution to logistics preparation (processing, shipping), and delivery of the Order will be indicated to the Customer before the final validation of the Order.
Delivery is carried out by a Carrier or Courier, at the Customer's choice from the delivery methods offered and determined based on the weight and dimensions of the package. For large or heavy parcels, delivery can be performed by a Courier. In this case, the Customer will be contacted by email or by phone directly by the Courier to arrange a delivery appointment. During this contact, the Customer must expressly report any access or passage difficulties that the Courier may encounter during delivery (including if they were previously reported on the order form). All additional delivery costs required to rent specific equipment (such as a forklift) to address access difficulties specified by the Customer must be approved and paid by the Customer prior to delivery. Smaller or lighter parcels, on the other hand, may be delivered by Courier. The Customer must provide a delivery address where a person can receive the package during the initial delivery (for example: workplace, a friend or family member's residence, concierge, etc.). As delivery is provided by a third-party service provider, the Customer acknowledges and accepts that TOLIX cannot be held responsible if the non-execution or improper execution of this obligation is attributable to the Customer or a third party to the contract or a case of force majeure. In case of impossibility to deliver on the scheduled date due to inappropriate information, access difficulties, or unreported absence of the Customer at the appointment, TOLIX may charge additional delivery fees. TOLIX will contact the Customer for payment of these additional delivery fees before any further Product delivery. In case of non-payment of these fees, TOLIX reserves the right not to proceed with the Product delivery. Any risks of damage resulting from these constraints will also be borne by the Customer.
4.2 Product Delivery Times
An estimate of the delivery time for each product will be indicated on the Site, in the corresponding product page.
The final delivery time will be communicated to the Customer during the Order placement procedure, prior to Order validation and payment. If an Order contains Products deliverable at different dates, the delivery will be made all at once based on the latest delivery time.
4.3 Delivery Delay
Any delivery delay must be reported in writing as soon as possible by the Customer to TOLIX, who will conduct an investigation with the relevant carriers. The Customer has the option to cancel the order if the delivery has not occurred by the originally specified delivery date, provided the delay is not due to the Customer, a case of force majeure, or other reasons beyond their control. From the exercise of the right to cancel or the conclusion of the investigation carried out by TOLIX confirming the loss of the parcel, TOLIX will refund the amount debited from the Customer's bank account at the time of the order within a maximum of fourteen (14) days from the receipt of the cancellation, excluding any other compensation, or resend the Products at its expense if the order has not been canceled by the Customer.
In the case of a partial delivery of the order, the delivery may be made in multiple shipments, and this right will only apply to the remaining undelivered portion of the order.
4.4 Receipt of Products by the Customer
Each delivery is considered completed upon the availability of the Products to the Customer by the carrier, as indicated by the control system used by the carrier. No claims related to the delivery itself will be possible if the package appears to have been delivered, as confirmed by the carrier's computer system. Without prejudice to the time limits available to the Customer under their right of withdrawal as specified in Article 5 below, upon delivery, the Customer must unpack the Product in the presence of the Carrier/Courier and verify that the delivered Product matches their order and that no damage affects the Product before signing the delivery slip. In the event of an anomaly, the Customer must make handwritten, dated, and specific reservations on the delivery slip, accompanied by a signature. The reservations made by the recipient at the time of delivery serve as evidence of the existence and extent of the damage. Similarly, if a delivery error is found, the Customer must specify the nature of the error, such as incorrect color or product. In the case of an error or damage, the Customer must absolutely refuse the Product and send us their reservations within five (5) days by email through the "Contact" section of the Site and simultaneously by registered letter with acknowledgment of receipt to the address indicated below: TOLIX, Web Service, 18 Boulevard Giberstein 71400 Autun. Any claim made after these deadlines will not be accepted. If the Customer does not make reservations, the delivered Product is deemed satisfactory and cannot be subject to any subsequent dispute. For example, the Customer cannot make reservations with TOLIX or with the Carrier/Courier after the departure of the Carrier/Courier, even if the package has not been opened in their presence. Apart from cases of non-compliance or hidden defects, no further claims or reservations will be accepted by TOLIX after the receipt of the Products by the Customer, if the Customer has not followed the procedure described above.
This section applies only to consumers.
The User has the right to withdraw from the Contract within 14 (fourteen) days, even without stating a reason. The withdrawal period expires after 14 (fourteen) days from the day on which the User or a third party designated by the User, other than the carrier, takes physical possession of the purchased product. If the User has purchased multiple products in a single order, the withdrawal period expires after 14 (fourteen) days from the day on which the User or a third party, other than the carrier and designated by the User, takes physical possession of the last of the purchased products. The right of withdrawal cannot be exercised for products made to measure and/or customized specifically for the User.
To exercise their right of withdrawal, the User must clearly express their intention to withdraw from the Contract by notifying TOLIX Customer Service via email (customer@TOLIX.com).
The exercise of the right of withdrawal is subject to the following conditions: For bulky and/or fragile Products delivered by a specialized courier or those delivered by Courier, the Customer must contact TOLIX to arrange for the return of the Product. For a return from their residence, the Courier will schedule an appointment with the Customer. The Product must show no signs of use, be returned in its original packaging, and must be accompanied by any accessories and user or assembly instructions, if applicable. If these conditions are met, the Courier will process the return of the Product. TOLIX will conduct a quality control check of the Product upon receipt. The Products must be in new condition, returned in their original packaging, showing no signs of use, and must be accompanied by their accessories and user or assembly instructions, if applicable. Only after verifying that these conditions are satisfied will TOLIX proceed to reimburse the sums received for the returned products. If the mentioned conditions are not met, the Customer's refund will be reduced by the amount corresponding to the loss of value of the Product, as determined during the inspection. Once the Products are returned following the procedure described above, the refund (excluding the initial shipping cost of the Product and return costs) will be processed within a maximum of thirty (30) days from the date of receipt by TOLIX of the returned Products.
TOLIX warrants that TOLIX Products conform to their expected use and do not have defects or hidden flaws that make them dangerous or unsuitable for their normal use. Thus, all products sold on the Site benefit from the legal warranty of conformity (as defined in Articles L217-4 and following of the Consumer Code) and the warranty against hidden defects (as defined in Articles 1641 and following of the Civil Code), allowing the Customer to return defective or non-conforming products at no cost.
6.1 Legal Warranty of Conformity
Article L.217-4 of the Consumer Code states that "the seller is required to deliver a product that conforms to the contract and is responsible for any non-conformity existing at the time of delivery. The seller is also responsible for any non-conformity resulting from the packaging, assembly instructions, or installation when it has been made the seller's responsibility by the contract or has been carried out under their responsibility."
Article L217-5 of the Consumer Code states that: "A product conforms to the contract:
1° If it is suitable for the customary use of a similar product and, where applicable: - if it corresponds to the description given by the seller and possesses the qualities that the seller has presented to the buyer in the form of a sample or model; - if it has the qualities that a buyer can legitimately expect in light of the public statements made by the seller, the producer, or their representative, particularly in advertising or labeling;
2° Or if it has the characteristics defined by mutual agreement of the parties or is suitable for any special use sought by the buyer, brought to the seller's knowledge and accepted by the seller." Article L217-12 of the Consumer Code states that "the action arising from the lack of conformity is barred by two years from the date of delivery of the product."
6.2 Warranty against Hidden Defects
Article 1641 of the Civil Code states that "the seller is bound by a warranty against hidden defects of the thing sold that renders it unfit for its intended use or that so impairs its use that the buyer would not have bought it or would have paid a lower price if they had known."
Article 1648 of the Civil Code states that "the action resulting from redhibitory defects must be brought by the buyer within a period of two years from the discovery of the defect. In the case provided for in Article 1642-1, the action must be brought, under penalty of foreclosure, within one year from the date on which the seller may be discharged from apparent defects or non-conformities."
6.3 Exclusions from Warranties
Products that have been modified, repaired, integrated, or added to by the Customer are excluded from warranty. The warranty does not cover apparent defects. The warranty does not cover products damaged during transport or due to improper use.
6.4 Implementation of Legal Warranties
When acting under the legal warranty of conformity, the Customer:
- has a period of two years from the delivery of the product to take action;
- can choose between repairing or replacing the product, subject to the cost conditions set out in Article L217-9 of the Consumer Code;
- is exempt from providing proof of the existence of the product's non-conformity for six months following the delivery of the product.
The legal warranty of conformity applies independently of any commercial warranty that may have been granted. The Customer can decide to exercise the warranty against hidden defects of the item sold within the meaning of Article 1641 of the Civil Code. In this case, they can choose between canceling the sale or reducing the sale price in accordance with Article 1644 of the Civil Code. For any requests regarding legal warranties, the Customer must contact Customer Service via email: customer@TOLIX.com. These provisions are not exclusive of the right of withdrawal defined in Article 5 above.
6.5 Consequences of Implementing Legal Warranties
Under the legal warranty of conformity, TOLIX undertakes, at the Customer's choice:
- to replace the Product with an identical product based on available stock,
- or to refund the price of the Product, within a maximum of 30 days, if replacing the product proves to be impossible.
Under the legal warranty against hidden defects, TOLIX undertakes, at the Customer's choice, after evaluating the defect:
- to refund the full price of the returned product, within a maximum of 30 days,
- or to refund a portion of the price of the product, within a maximum of 30 days, if the Customer decides to keep the product.
6.6 Warranty Extension for the Chaise A Model
In addition to the aforementioned conditions, and effective from any purchase made on the website tolix.com after October 15, 2024, TOLIX grants an additional 8-year structural warranty on the Chaise A model. This extension covers the durability of welds and assemblies for normal, non-professional use.
In the event of activating the extended warranty, TOLIX commits to at least repairing the product and replacing it if necessary.
To activate this warranty extension, the customer must have completed the warranty extension form within 15 days from the date of purchase. This warranty is personal and non-transferable.
For all practical purposes, this warranty extension does not affect the legal conformity warranty and is added to it.
7.1. Right of Return
In the event of receiving a non-compliant Product, and subject to the provisions of Article 5, the Customer is authorized to return the non-compliant Product to TOLIX within thirty (30) days after receiving the Product.
It is specified that TOLIX does not accept parcels sent with postage due, and the Product must be returned in its original packaging and packaging. The Customer must include a copy of the invoice and the return slip provided by the customer relations service, which they will have requested in advance via email: customer@TOLIX.com.
TOLIX will conduct an inspection regarding the non-compliance of the Product, and if confirmed, this will automatically result in a refund to the Customer. This refund will be made to the bank account debited during the Product order within thirty (30) days after TOLIX receives the non-compliant Product. This refund will also include the refund of the initial delivery costs if all the delivered Products are returned. If the entire order is not returned in its entirety, no refund of the initial delivery costs will be made.
All risks associated with the return of the Product remain the responsibility of the Customer.
7.2. Right of Exchange
In the event of receiving a non-compliant Product, and subject to the provisions of Article 5, the Customer is authorized to exchange the non-compliant Product with TOLIX within thirty (30) days after receiving the relevant Product.
The Customer can return the Product for exchange by postal mail after obtaining a return slip by contacting the Internet customer relations service via email: customer@TOLIX.com.
TOLIX will conduct an inspection regarding the non-compliance of the Product, and if confirmed, an exchange will be carried out.
TOLIX's liability cannot be invoked for any inconveniences or damages inherent to the use of the Internet, including service interruptions, the occurrence of bugs, external intrusion, or the presence of computer viruses. Notwithstanding the provisions of the previous paragraphs, TOLIX's liability under these General Terms and Conditions of Sale, in any event, is joint and cannot exceed an amount equal to the sums paid or payable during the transaction that gave rise to such liability for TOLIX's products.
TOLIX is a registered trademark. The Site is the full and exclusive property of TOLIX. TOLIX holds the necessary intellectual property rights to make them available online.
Both the general structure of the Site (graphic design) and its content (texts, slogans, graphics, images, sounds, videos), including software, databases, and newsletters (hereinafter the "Content"), are the property of TOLIX or authorized third parties to use them and are protected under copyright law. These do not grant any license or rights other than that of viewing the Site. The reproduction of all or part of the Site and its Content is only allowed for the exclusive purpose of personal and private use.
Therefore, in accordance with the provisions of the Intellectual Property Code, any representation, reproduction, modification, denaturation, and/or of the Content, by any means and on any medium, without the express and prior authorization of TOLIX, is prohibited and constitutes an act of copyright infringement.
Similarly, any unauthorized use of the Site and/or its Content engages the criminal and civil liability of the User on the basis of copyright infringement.
TOLIX collects personal data from the Customer, as well as, where applicable, those of the recipient of the Order.

TOLIX has implemented security measures to protect the personal information you provide against unauthorized access and use. All financial information you provide on the Site is stored on the secure site of the financial institution chosen by TOLIX. Transactions concluded on the Site are protected by an encryption process. However, please be aware that no data transmission over the Internet is 100% secure, and all information provided online can potentially be intercepted and used by other parties than the intended recipient.
Any personal data is subject to the provisions of law no. 78-17 of January 6, 1978, as amended. In this regard, you have the right to access and rectify or delete data concerning you processed by TOLIX, as well as the right to object to the processing of such data for direct marketing purposes, by contacting our Customer Services, by email, at customer@TOLIX.com. If necessary, you must provide TOLIX with updates or changes to your information, including, in particular, those related to your postal and/or email address in order to allow us to ship your orders to the correct address and to contact you regarding them if necessary.
Neither the Customer nor TOLIX shall be held responsible for the total or partial non-performance of their obligations if this non-performance is due to force majeure or the occurrence of an event of force majeure, such as, without limitation, flooding, fire, storms, lack of raw materials, transportation strikes, total or partial strikes, or lockout, with these different elements being assessed in accordance with applicable case law.
The party affected by such events shall inform the other party as soon as possible and no later than five (5) working days after the occurrence of such event.
In such a case, the Customer and TOLIX agree to consult as soon as possible to jointly determine the terms of execution of the order during the force majeure event.
If one or more provisions of these General Terms and Conditions of Sale are found to be invalid or declared as such under a law, regulation, or following a final decision of a competent court, the other provisions shall remain in full force and effect.
The fact that one of the parties to these General Terms and Conditions of Sale does not require the application of a clause, either on a permanent or temporary basis, shall not in any case be considered as a waiver of the rights of that party arising from that clause.
These General Terms and Conditions of Sale and the order summary sent to the Customer form a contractual whole and constitute the entirety of the contractual relationships between the Parties.
In general, it is expressly agreed between TOLIX and the Customer that email communications between them, as well as automatic recording systems used on the Site, in particular as to the nature and date of the order, shall serve as evidence.
The Customer may access, where applicable, in accordance with the rules of common law, the electronic contract entered into between the Customer and TOLIX.
To do so, the Customer must contact Customer Service by email, providing all necessary information, including the order number and contact details.

The law applicable to these General Terms and Conditions of Sale and the corresponding orders is French law, except in cases where the law of the User's country of residence requires a higher level of protection that cannot be derogated from by agreement, in which case that law shall apply.
Subject to any contrary provisions of the Code of Civil Procedure, any dispute arising concerning the validity, interpretation, or performance of these General Terms and Conditions of Sale, which has not been resolved amicably by the parties hereto, shall be submitted to the French courts, regardless of the number of parties, the urgency, or the expertise involved.
